1. Agreement
These terms of service (the “Terms”) form a binding agreement between you and Setec Millenium (“Setec Millenium”, “we”, “us”, “our”). They govern your use of the Setec Millenium marketing website (the “Site”) and, if you have a workspace, the Setec Millenium learning platform (the “Service”).
By creating an account, clicking “I agree”, or using the Site or Service, you accept these Terms. If you do not accept them, do not use the Site or Service.
Where a customer organisation has signed a Master Services Agreement or Order Form with us, that agreement controls in the event of any conflict with these Terms.
2. Eligibility and accounts
You must be at least 18 years old and authorised to enter a contract on behalf of yourself or your organisation to use the Service. You are responsible for the accuracy of the information you provide at sign-up and for keeping your account credentials confidential.
Multi-factor authentication is required for org admins. We strongly recommend enabling it for all roles.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Acceptable use
You agree not to:
- Use the Service to harass, defame, or harm any other person.
- Upload content that infringes intellectual-property rights or violates any law.
- Attempt to access data belonging to another workspace or circumvent the tenant isolation controls.
- Reverse-engineer, decompile, or otherwise attempt to derive source code from the Service.
- Use the Service to deliver malware, phishing, or other deceptive content.
- Resell or sublicense access to the Service without our written permission.
- Probe, scan, or test the vulnerability of the Service without our written permission.
We may suspend access while we investigate a suspected breach of these rules. We will notify you as soon as we can.
4. Your content
You retain ownership of the content you upload or author through the Service — quiz content, source materials, participant data, certificate templates. You grant us a worldwide, non-exclusive licence to host, copy, transmit, and process that content solely to operate the Service on your behalf.
You confirm that you have the rights necessary to upload the content you upload, and to use it in the context of your training programme. You are responsible for the lawful basis on which you process participant personal data; we are your processor in that context and process only on your documented instructions.
5. AI features
AI generation, translation, and written-answer rating are provided through OpenRouter. Outputs are probabilistic; they may contain errors. You are responsible for reviewing AI-generated quiz content before publication, and for the rubric you provide to the AI rater.
We do not train AI models on your quiz content, source materials, or participant responses. Where our providers offer an opt-out from training, we configure that opt-out at the account level.
AI credits are consumed per request. We display your running spend in the admin dashboard and notify workspace admins before any spend cap is reached.
6. Plans and billing
The Service is offered on three plans: Free, Pro, and Enterprise. Plan limits and included AI credits are described at /plans.
Paid plans are billed monthly in advance. You can upgrade at any time — upgrades take effect immediately and are pro-rated for the remainder of the cycle. Downgrades take effect at the end of the current cycle, so you never lose paid-for capacity mid-month.
Fees are non-refundable except where required by law. We may change plan pricing with at least 30 days' notice; changes do not affect the cycle in progress.
7. Service changes and availability
We may modify the Service to add features, fix bugs, or respond to changes in our infrastructure. Where a change materially reduces functionality, we will give you at least 30 days' notice where reasonably possible.
We target 99.9% uptime for the Service. Status and incident history are published at status.setec-millenium.app. The Free plan is excluded from the SLA.
From time to time we may need to perform scheduled maintenance. We will announce this at least 24 hours in advance where reasonably possible.
8. Termination
You can stop using the Service at any time. Free workspaces can be deleted from the workspace settings page. Paid workspaces are cancelled at the end of the current billing cycle.
We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within 14 days of our notice, or if continuing service would put us in breach of the law.
On termination, we will retain your data for a 30-day grace period in case you change your mind. After that, we delete business data within 30 days, with up to 35 days of residual data in encrypted backups.
9. Intellectual property
We retain ownership of the Service itself — its code, design, documentation, and trademarks. Nothing in these Terms transfers that ownership to you.
You retain ownership of your content (Section 4). You may export your content at any time using the tools available in your workspace.
We may use your organisation's name and logo as a customer reference, unless you ask us in writing not to.
10. Warranties and disclaimers
We provide the Service using reasonable skill and care. We do not warrant that the Service will be uninterrupted, error-free, or that the results obtained from it will meet your specific requirements.
Except as expressly stated, the Service is provided “as is” and we disclaim all other warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues.
Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid by you to us in the 12 months preceding the event giving rise to the liability, or €100 if you are on the Free plan. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
12. Indemnity
You will indemnify us against third-party claims arising from your content, your use of the Service in breach of these Terms, or your violation of any law.
We will indemnify you against third-party claims that the Service itself infringes intellectual-property rights, and we will either procure the right for you to continue using the Service or terminate the affected workspace with a pro-rated refund.
13. Governing law and disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-laws rules. The parties will attempt to resolve any dispute through good-faith negotiation for at least 30 days before initiating formal proceedings.
If negotiation fails, disputes will be resolved exclusively by the courts of Amsterdam, the Netherlands, except where consumer law gives you the right to bring proceedings in your country of residence.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page with a revised “Last updated” date and — for material changes — email workspace admins at least 30 days before the change takes effect.
